This Public Offer Agreement (hereinafter referred to as the “Offer”) is a legally binding proposal by Noimann Academy L.L.C-FZ, a limited liability company registered in the Meydan Free Zone, Dubai, UAE (License No. 2529929.01), represented by Director Nargiza Noimann Zander (hereinafter referred to as the “Provider”), addressed to any individual (hereinafter the “Client”) to conclude a service agreement under the terms described below.
By accepting the terms of this Offer and completing payment via the Provider’s website or authorized payment gateway, the Client fully and unconditionally agrees to be legally bound by this Agreement.
1. DEFINITIONS
“Offer” – this public agreement published on the Provider’s official website. 
“Client” – an individual who accepts the terms and conditions of this Offer by submitting payment. 
“Service” – educational and coaching services provided online, including webinars, consultations, digital materials, and support via messaging platforms. 
“Acceptance” – the Client’s full payment via the website or authorized Stripe gateway. 
“Website” – the Provider’s online platform used to present and sell the Services.
2. SUBJECT OF THE AGREEMENT
2.1 The Provider agrees to deliver, and the Client agrees to pay for, online educational and coaching services described on the Provider’s website. 
2.2 The services are delivered remotely using digital technologies and include: 
  - Access to selected training programs 
  - Feedback and supervision sessions 
  - Webinars and communication via messenger apps 
2.3 The Agreement becomes effective upon full payment.
3. PAYMENT TERMS
3.1 Payment is accepted via Stripe and other authorized online methods. 
3.2 Services are priced in USD and are subject to applicable VAT under UAE law. 
3.3 Payment confirms that the Client accepts the full terms of this Offer.
4. INTELLECTUAL PROPERTY & CONFIDENTIALITY
4.1 All training materials are the intellectual property of the Provider and may not be copied, shared, distributed, or used for commercial purposes without written consent. 
4.2 Any unauthorized reproduction or public use of materials will result in liability, including a penalty of up to ten (10) times the course fee. 
4.3 All materials, communications, and content shared during the course are confidential.
5. DATA PROTECTION
5.1 The Client agrees to the collection and processing of personal data according to UAE Federal Decree Law No. 45 of 2021 (Personal Data Protection Law). 
5.2 The Client consents to receive service-related communications via email, SMS, or messenger.
6. SERVICE COMPLETION & DELIVERY
6.1 The service is considered delivered and accepted unless the Client provides written objections within 3 calendar days after the course ends. 
6.2 No formal delivery certificate is issued.
7. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of the United Arab Emirates. All disputes shall be resolved by amicable negotiations or, failing that, through competent courts under the jurisdiction of the Meydan Free Zone.
8. FINAL PROVISIONS
8.1 This Agreement is publicly accessible and does not require signature. 
8.2 Communications by email are legally binding. 
8.3 The Client confirms full understanding and acceptance of these terms by completing payment.
